Bamun agreed to act as agent for TEU in Zorinia for the purpose of recruiting students. The contract was made in England when Bamun was on a business visit to England and was to be governed by Zorinian law, and it was further agreed that Zorinian courts should have exclusive jurisdiction to decide disputes. Bamun?s commission was payable to his bank account in England. It was a term of the contract that the students recruited by Bamun should have a good command of the English language.
In September 2012, when a batch of Zorinian students arrived to enrol at TEU, it was found that the students could not speak a word of English. TEU decides not to pay Bamun his commission.
Advise TEU on the following:
(i)The steps it should take to commence an action against Bamun for breach of contract in an English court;
(ii)The principles which will guide the English court if TEU applies for an anti-suit injunction to restrain Bamun from continuing with his action in Zorinia against TEU for non-payment of commission;
(iii)The principles which will guide the English court if Bamun applies for a stay of the English action.
