Read the Article titled Attribution in Company Law’. Identify some of the concerns raised in the article in relation to the law concerning attribution. Critically discuss the writers view that ‘to attribute the fraud of the sole director and shareholder, or the directing mind and will, to the company in order to bar the latter from suing third parties for breach of duties on the basis of ex turpi causa, would in effect amount to lifting the corporate veil and treating the company as if it were the director/shareholder himself who is attempting to rebut the ex turpi causa defence’. Give reasons for your answer.

Mrs. Spinner

Mrs. Spinner is a 46 year old woman who was referred by her husband who described “attacks” of dizziness that his wife experienced that left her incapacitated. She described being overcome with dizziness and nausea 4-5 times a week, when the room would begin to “shimmer” and she had the feeling that she was “ floating” and could not maintain her balance. The attacks almost always occurred at about 4PM, after which she had to lie down until 7 or 8PM. After feeling better she would spend the rest of the night watching TV, would fall asleep on the couch and go to the bedroom at around 3AM.

The patient was evaluated medically and all tests were negative. She was in fine physical condition. When asked about her marriage she stated that her husband was abusive verbally and demanding of her and her children. She admitted that she dreaded his arrival home from work each day. When she was unable to make dinner, her husband and children would have to go out to eat. He came home, watched TV and had no conversation with his wife.

Questions:

What is her diagnosis?
What are the symptoms that helped you make this diagnosis? What diagnostic criteria do they relate to?
What are two other possible diagnoses and why did you not choose them?
How would Mrs. Spinner respond to psychotherapy designed to address her “emotional” problems?
What therapeutic approach would you consider and why?
What is her prognosis?

HRD key challenges in an organisation

Select an organisation of your choice. Ideally, you should select an organisation where you currently work or have worked in the past, or an organisation that you would like to work for in the future.
Drawing on your understanding of the industry, the organisation, and the HRD challenges you have experienced or identified and key HRD theoretical frameworks, examine the HRD process in your selected organisation.
In your answer, consider:
o What are the key challenges of using HRD in the organisation?
o What aspects of HRD are done well in the organisation?
o What recommendations would you give to the organisation to improve HRD and its impact on both individual and organisational performance?

The essay will help you to build your writing and critical thinking skills, and should reflect the principles of scholarly work. This requires a critical analysis of relevant concepts and the presentation of an argument. The presentation of a list of facts, which are not analysed or evaluated, will not normally attain a pass grade. You should support your contention with relevant academic literature on HRD. You must include references to a minimum of 20 academic, peer-reviewed journal articles.
The essay assignment is approximately 2500 words (including title page, references, or ancillary materials) and is worth 30 marks.
Grading criteria for this assessment is contained in the Rubric below.
All reference material must be appropriately cited in the text of your essay. Include a separate reference section that includes the full citation information. Follow the style guidelines for the Academy of Management Journal. Note that Wikipedia and similar websites are NOT acceptable sources of information for this assignment.
Your essay must be typed and have standard margins on all sides. Double spacing or 1.5 line spacing are preferred.
It is essential that your essay is written in a neat, professional, and engaging manner. Check your writing for accuracy in spelling, grammar and punctuation. Convey your ideas in a clear, concise manner, and use appropriate transitions between ideas and sections. The analysis of the identified HRD challenges, assessment of HRD aspects performed well and recommendations to improve HRD and its impact on both individual and organisational performance must be informed by the academic research literature. La Trobe University has many resources to help you develop your writing skills.
